1. Acceptance of Terms

By accessing or using the ShipVAT API (“Service”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

ShipVAT provides a REST API for accessing global tax rates, thresholds, and tax calculation services. We aggregate data from official government sources and provide it in a structured format for developers.

3. Account Registration

  • You must provide accurate, complete registration information
  • You are responsible for maintaining the security of your API keys
  • You are responsible for all activity under your account
  • You must notify us immediately of any unauthorized use

4. Acceptable Use

You agree NOT to:

  • Use the Service for any illegal purpose
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service
  • Resell or redistribute API access without permission
  • Exceed your plan’s rate limits or abuse the Service

6. Data Accuracy Disclaimer

IMPORTANT: ShipVAT provides tax data for informational purposes only. While we strive for accuracy:

  • We are NOT a substitute for professional tax advice
  • We do NOT guarantee the accuracy of any data
  • We are NOT responsible for errors in government source data
  • You MUST verify tax rates with official sources for compliance

We strongly recommend consulting a qualified tax professional before making compliance decisions.

7. Service Availability

  • We target 99.9% uptime but do not guarantee availability
  • We may perform maintenance with reasonable notice
  • We are not liable for downtime or service interruptions

8. Intellectual Property

  • The ShipVAT API, documentation, and branding are our property
  • Tax data sourced from government sources remains in the public domain
  • You may not use our trademarks without permission

9. Payment Terms

  • Subscription fees are billed monthly in advance
  • Overage charges are billed at the end of each billing cycle
  • Refunds are provided at our discretion
  • We may change pricing with 30 days notice

10. Termination

  • You may cancel your account at any time
  • We may suspend or terminate accounts that violate these terms
  • Upon termination, your API keys will be revoked immediately

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES
  • WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES
  • OUR TOTAL LIABILITY IS LIMITED TO FEES PAID IN THE LAST 12 MONTHS

12. Indemnification

You agree to indemnify and hold harmless ShipVAT from any claims arising from your use of the Service or violation of these terms.

13. Governing Law

These terms are governed by the laws of the United States. Any disputes shall be resolved in the courts of Delaware.

14. Changes to Terms

We may modify these terms at any time. Continued use after changes constitutes acceptance.
